(1) | These short put options were acquired on December 31, 2021 and subsequently held, by a third-party independently managed account that belongs to an entity controlled by the reporting person's spouse and over which the reporting person's spouse has pecuniary interest. The reporting person does not have any investment power over such third-party managed account. The reporting person became a director of the issuer on January 1, 2022. Pursuant to Rule 16a-2(a), the acquisition of the short put options is a transaction effected by a person who was not, at the time of the transaction, a director of the company. As a result, the referenced short put options are not subject to Section 16 and the premium for these short put options is not a short-swing profit that may upon the expiration of such short put options be recovered for the benefit of issuer. |
